The Virginian-Pilot recently posted a warning about a scam targeting Virginia businesses. A private company, Virginia Council for Corporations, is mailing out a form with a request that businesses fill it out and mail it back with a check for $125. The form comes in a green envelope from Richmond and claims that they will provide "corporate consent records in lieu of meeting minutes that fulfill... requirements of Virginia law." The problem is that the State Corporation Commission does not need this information, nor is this form authorized by them. This form looks similar enough to the annual one actually required by the State Corporation Commission that people are mistaking it for an official document and is necessary versus some business proposition. Last year another company, Corporate Records Service, using the same Richmond address, had a similar mechanism. If you have any concerns over than validity of a form you receive, be sure to contact the State Corporation Commission directly before completing: SCC 866-722-2551 or email@example.com.
